How to open d.o.o or j.d.o.o?

Dear everyone, the first question you will encounter when starting your own business is how to open a d.o.o. i.e. j.d.o.o. Accordingly, below I bring you a short itinerary that will hopefully make that first big step easier for you. 😊

With the entry into force of the Ordinance on the method of entry in the court register (Official Gazette 22/12) through the e-Company service, the electronic establishment of a limited liability company with share capital in cash from any Notary Public or HITRO.HR office in the Republic of Croatia has been made possible at any of Commercial courts 24 hours a day, 7 days a week. After the court receives an electronic application for the establishment of a commercial company, the deadline for making a decision is 24 hours.

1. Name of the company

You must first choose a name for the company. HITRO.HR can check for you whether there is already a company with the same or a similar name on the Court Registry page. That is why, in addition to the chosen name of the company, it is advisable to prepare alternative names. When choosing a company name, use the sudreg.pravosudje.hr portal.

2. Notary public

The application for registration in the court register (form Po) and some of its attachments must be certified by a notary public. At the notary, you must have an identity card or passport (mandatory for foreign citizens). The presence of all founders and other persons whose signatures need to be certified is mandatory. After certification, the notary forwards the documentation electronically to the HITRO.HR office (see e-Company service).

3. Submission of documentation and payment of fees

Submit the application for registration in the court register with all necessary attachments certified by a notary public at the HITRO.HR office. You will receive payment slips for the payment of the founding deposit and court fees at the HITRO.HR office.

After the payments have been made, HITRO.HR will complete your case and forward it to the competent Commercial Court electronically (e-Company) or submit paper documentation if the conditions for electronic submission are not met. If the documentation that was sent electronically is correct and complete, the Commercial Court will register the company in the Court Register within 24 hours and electronically deliver to the HITRO.HR office the Decision on Incorporation and Certificate of OIB of the newly established company. However, in the case when the documentation is submitted to the Commercial Court in paper form, the deadline for entering the company in the court register is 5 days, and the Decision on the establishment of the company and the Certificate of OIB are picked up by the HITRO.HR office in paper form at the Commercial Court .

4. Downloading documentation and opening an account

You can download the decision on registration in the court register and the Notice on the classification of a business entity according to the National Classification of Activities with the entered registration number at the HITRO.HR service counter. You can arrange the opening of an account at the HITRO.HR service counter (in those banks for which FINA performs account opening operations or mediates in the performance of these operations). The company, company owner and company employees must be registered in the pension insurance system (HZMO – e-Mirovinsko). In addition to registering the company in the pension insurance, it is also necessary to register in the health insurance system (HZZO – e-Health). The company must also be registered with the competent Tax Administration.
